1. Agreement to Terms
These Terms & Conditions ("Terms") are a binding agreement between you and KB Innovation, LLC, an affiliate of Kingdom Builders US ("KB Innovation," "we," "us," or "our"). KB Innovation is a nonprofit ministry organization and the parent company that owns and operates the software platforms described in these Terms, including Geaux™. These Terms govern your access to and use of our websites, the Platforms, premium add-ons, donation features, and related services (collectively, the "Services").
Acceptance. We ask you to accept these Terms by an affirmative act, such as checking a box or clicking an accept button when you create an account, and we keep a record of the version you accepted and when. By clicking to accept, creating an account, or using the Services, you agree to these Terms and to our Privacy Policy, on behalf of yourself and, where applicable, your Organization. If you do not agree, do not use the Services.
Electronic communications. You consent to receive agreements, notices, disclosures, and other communications from us electronically, by email or through the Services, and you agree that electronic communications satisfy any legal requirement that a communication be in writing.
2. Definitions

"Platform" means a software platform offered by KB Innovation, including Geaux™, our free, AI-guided capital campaign platform, and any other platforms we may make available from time to time as part of the KB Innovation platform family.

"You" means the individual using the Services and, where applicable, the organization on whose behalf you act. If you use the Services on behalf of an Organization without authority to bind it, you are personally responsible for these obligations.
•
"Organization" means the church or ministry you represent.
•
"Your Content" means the information, inputs, and materials you submit to the Services.
•
"Member Data" means information your Organization uploads, connects, or otherwise provides about its members, givers, attendees, or households.
•
"AI Output" means content generated by the Services' artificial-intelligence features from Your Content.
3. Eligibility and Authority
The Services are available to users located in the United States who are at least 18 years old. If you use the Services on behalf of an Organization, you represent that you are authorized to bind that Organization to these Terms, and "you" includes that Organization.
4. Description of the Services
KB Innovation builds software platforms for the local church. Our flagship Platform, Geaux, is a free, AI-guided platform that helps Organizations assess readiness and plan, run, and sustain capital campaigns through three movements: Discover, Design, and Deliver. All three movements are free, including Navigator, the in-product AI guide. Completing a campaign never requires payment.
Optional premium add-ons are offered on a paid basis and sit on top of the free Platform. Current premium add-ons include Campaign Advisor (personal coaching and guidance from a real human advisor) and Advanced Giving Analytics (deeper analysis of your Organization's giving data). Premium add-ons enhance the experience; they are never required to complete a campaign.
We may offer additional Platforms as part of the KB Innovation platform family, and these Terms apply to each Platform where they are posted. We may change, add, or remove features at any time. From time to time we may offer new or beta features, which may change, be withdrawn, or be less reliable than other parts of the Services. Some features depend on third-party services, including giving platforms and church management systems as those integrations become available.
5. Accounts, Roles, and Shared Access
Account information. You must provide accurate information when registering and keep it current. You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.
Organization accounts and roles. Accounts are typically held by an Organization and used by individuals the Organization authorizes. Some Platforms support multiple users with different roles (for example, administrators and members). Administrators control who may access the Organization's account, and the Organization is responsible for the people it invites and for the activity of its users.
One account across the platform family. Where available, a single KB Innovation account may provide access to more than one Platform. Your account and Organization information may be used across the Platforms you use so your experience stays connected; our Privacy Policy describes this in more detail.
Share links. Some features let you create read-only share links so people outside your account (for example, an architect, a board member, or a leadership team) can view selected content without signing in. Anyone who has a share link can view the shared content, so share thoughtfully. You can typically disable a share link at any time within the Platform, and you are responsible for the content you choose to share and the people you share it with.
6. Premium Subscriptions, Billing, and Refunds

Clear disclosure before you pay. The price, billing frequency, renewal terms, and how to cancel are presented clearly at the point of purchase, before you are charged.

Your consent. We charge your selected payment method through our payment processor only after you affirmatively consent to the purchase and, for subscriptions, to the recurring charge itself.

Automatic renewal. Paid subscriptions renew automatically for successive terms at the interval and then-current rate disclosed at purchase, until you cancel. After you subscribe, we send a confirmation that includes the terms and how to cancel. For any subscription with a term of one year or longer, and wherever the law requires, we send a reminder before renewal.

Cancellation. You can cancel online in your account settings at least as easily as you subscribed, or by contacting support@kbinnovation.co. Cancellation stops future renewals and takes effect at the end of the current billing period; you keep access until then.

Price changes. We may change fees prospectively with advance notice. Changes take effect at your next renewal; if you do not agree, cancel before the renewal date.
•
Refunds. Premium fees are non-refundable, except where a refund is required by applicable law.
•
Taxes. You are responsible for any applicable taxes other than taxes on our income.
7. Donations and Supporter Contributions
Some of the Services invite voluntary contributions that help keep the Platforms free for churches, including one-time gifts and recurring monthly giving through the Lagniappe Club.
•
Voluntary. Contributions are entirely voluntary. They are not payments for goods or services, and they do not unlock features, entitlements, or preferential treatment of any kind. The free Platform stays free whether or not you give.
•
Use of gifts. Contributions support our mission of serving the local church, including keeping the Platforms free. Gifts are unrestricted unless we expressly agree otherwise in writing, and we retain discretion and control over their use in furtherance of our mission.

Recurring gifts. If you set up a recurring contribution, the amount, schedule, and how to cancel are disclosed before your first charge, and you authorize us and our payment processor to charge your selected payment method on that schedule until you cancel. We send a confirmation with cancellation instructions. You can cancel at any time online in your account settings, at least as easily as you signed up, or by contacting support@kbinnovation.co. Cancellation stops future charges but does not refund amounts already given.

Refunds. Contributions are non-refundable except where required by applicable law or in cases of demonstrated billing error.
Tax treatment. Contributions are tax-deductible to the extent permitted by law. We will provide a written acknowledgment for contributions of $250 or more, and no goods or services are provided in exchange for contributions. Consult your tax advisor about your specific situation.
8. AI-Generated Content
The Services use artificial intelligence, including Navigator, our in-product AI guide, to generate strategy recommendations and ministry content from Your Content. Navigator is clearly identified as AI, and we disclose when you are interacting with AI rather than a human.
•
Nature of AI Output. AI Output is generated automatically and provided "as is." It may be inaccurate, incomplete, or unsuitable for your situation, and similar or identical output may be generated for other users. AI Output is a starting point for your judgment, not a substitute for it.
•
Your responsibility. You are solely responsible for reviewing, verifying, and approving all AI Output (including for theological soundness, factual and financial accuracy, and legal compliance) before relying on it, publishing it, or sharing it with your congregation or givers.
•
Ownership. As between you and us, you retain ownership of Your Content, and, to the extent permitted by law, you own the AI Output generated from Your Content. AI Output may not be protectable by copyright, and we make no promise of exclusivity. You grant us the license described in Section 9 to operate and improve the Services.
•
No professional judgment. AI Output does not constitute professional, financial, legal, tax, or theological advice (see Section 14).
9. Your Content; License; Feedback
You retain all rights in Your Content. You grant us a non-exclusive, worldwide, royalty-free license to host, store, process, reproduce, and use Your Content as necessary to provide, secure, and improve the Services, including processing it through our AI service providers and creating de-identified and aggregated data as described in our Privacy Policy.
You represent that you have the rights necessary to submit Your Content, including Member Data, and that doing so does not violate any law or third party's rights.
Feedback. If you send us ideas, suggestions, or feedback about the Services, we may use them without restriction or obligation to you, and you grant us a perpetual, irrevocable, royalty-free license to do so.
10. Member Data and Data Processing Terms
Some Services allow your Organization to upload files or connect systems containing Member Data. This section states the data-processing terms that apply to Member Data and is intended to satisfy the contract requirements of applicable state privacy laws.
•
Roles. For Member Data, your Organization is the controller (or "business") and KB Innovation acts as your Organization's processor (or "service provider"). For your own account and contact information, KB Innovation is the controller.
•
Our commitments. We process Member Data only on your Organization's documented instructions, including these Terms, and only as needed to provide the Services. We impose confidentiality duties on personnel who handle it, maintain reasonable security measures appropriate to its sensitivity, and engage subprocessors (such as hosting, AI, payment, and email providers) only under written terms at least as protective as this section. We assist your Organization, as reasonably needed, in responding to privacy requests from its members and in meeting its assessment obligations. At your Organization's choice when the relationship ends, we delete or return Member Data, subject to legal retention requirements.
•
No selling. We do not sell Member Data, and we do not retain, use, or disclose it outside our relationship with your Organization, except as permitted for a processor or service provider, including creating de-identified and aggregated data as described in our Privacy Policy.
•
Your Organization's responsibilities. Your Organization is responsible for providing any required privacy notices to its members, obtaining any required consents, honoring member requests it receives, and giving us lawful instructions.
11. Acceptable Use
You agree not to:
•
Use the Services for any unlawful, deceptive, or fraudulent purpose;
•
Upload content that infringes others' rights, is defamatory, or violates privacy;
•
Attempt to access accounts, data, or systems you are not authorized to access;
•
Reverse engineer, scrape, overload, or interfere with the Services;
•
Resell or commercially exploit the Services except as expressly permitted;
•
Use the Services to develop a competing product or to misuse our AI features.
12. Copyright Complaints
We respect intellectual-property rights and expect users to do the same. If you believe content on the Services infringes your copyright, send a notice containing the elements described in 17 U.S.C. Section 512(c)(3) to our designated agent: KB Innovation, LLC, Attn: Copyright Agent, 3660 Grandview Parkway, Birmingham, AL 35243, legal@kbinnovation.co. We may remove or disable access to content alleged to be infringing and, in appropriate circumstances, terminate the accounts of repeat infringers.
13. Intellectual Property
The Services, including our software, frameworks, and methodologies (such as the Discover, Design, and Deliver framework and the five readiness domains), text, graphics, and trademarks (including Geaux™, KB Innovation™, and Innovation Belongs to the Local Church™), are owned by KB Innovation or our licensors and are protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your Organization's internal ministry purposes, subject to these Terms. All rights not expressly granted are reserved. Third-party names and marks referenced in the Services, including those of our ministry and lending partners, belong to their respective owners.
14. Disclaimers
The Services are provided "as is" and "as available," without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, accuracy, and non-infringement. Some jurisdictions do not allow certain warranty disclaimers, so parts of this section may not apply to you.
Not professional advice. KB Innovation is a planning and content platform. It does not provide financial, investment, lending, accounting, tax, legal, or professional fundraising advice, and it is not a substitute for the judgment of qualified professionals or your Organization's leadership. Strategy recommendations, budgets, projections, and readiness scores are informational only. You should obtain independent professional advice before making financial, legal, or organizational decisions.
No lending advice. The Services estimate what your Organization may be able to raise; they do not assess loan eligibility, compute lending terms, or provide borrowing advice. All lending decisions, calculations, and terms belong to our lending partner, Wesleyan Investment Foundation (WIF), or to any other lender your Organization chooses to work with, under their own agreements and criteria.
No guaranteed outcomes. We do not warrant any particular fundraising, financial, participation, or ministry result. Campaign and generosity outcomes depend on many factors outside our control.
Third-party services. We are not responsible for third-party services you connect to or rely on, including giving platforms, church management systems, payment processors, and lenders (including WIF).
15. Limitation of Liability
To the maximum extent permitted by law, KB Innovation and its affiliates, ministry partners, and personnel will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost donations, lost data, or business interruption, arising out of or relating to the Services.
To the maximum extent permitted by law, our total liability for any claim relating to the Services will not exceed the greater of (a) the amount you paid us for the Services in the twelve months before the claim, or (b) $100.
Some jurisdictions do not allow certain limitations of liability, so parts of this section may not apply to you. Nothing in these Terms limits any right you have under applicable law that cannot be limited by contract.
16. Indemnification
To the maximum extent permitted by applicable law, you agree to indemnify and hold harmless KB Innovation and its affiliates, ministry partners, and personnel from claims, damages, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Services, Your Content, your violation of these Terms, or your violation of any law or third-party right.
17. Dispute Resolution: Talk First, Then Individual Arbitration
Informal resolution first. Most concerns can be resolved quickly and in good faith. Before filing any claim, you agree to email support@kbinnovation.co with a written description of the issue and how you would like it resolved, and we agree to do the same before filing a claim against you. The parties will work together in good faith for at least 60 days before either files a claim. This reflects how we prefer to handle conflict: directly, honestly, and personally.
Binding individual arbitration. If a dispute is not resolved informally, you and KB Innovation agree that any dispute arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules, rather than in court, except that (a) either party may bring an individual claim in small-claims court, and (b) either party may seek injunctive relief in court to protect intellectual property or confidential information. The Federal Arbitration Act governs this section. The arbitrator, not a court, decides disputes about the scope and enforceability of this arbitration agreement. Arbitration will take place in your county of residence or remotely by videoconference, and we will pay the filing, administration, and arbitrator fees beyond the portion the AAA Consumer Arbitration Rules assign to you.
Class action and jury trial waiver. You and KB Innovation each waive the right to a jury trial and the right to participate in a class, collective, consolidated, or representative action. Claims may be brought only on an individual basis.
Coordinated filings. If 25 or more arbitration demands raising similar claims are filed by or with the assistance of the same law firm or organization, you and we agree the AAA will administer them in staged batches, beginning with up to 10 bellwether arbitrations, with the remaining demands tolled until those conclude.
Your right to opt out. You may opt out of this arbitration agreement and class waiver, with no effect on any other part of these Terms, by emailing support@kbinnovation.co within 30 days of first accepting these Terms, with your name, Organization, and account email.
Severability. If the class waiver is found unenforceable as to a particular claim, that claim (and only that claim) must proceed in court, and the rest of this section remains in effect.
Time to bring claims. To the extent permitted by applicable law, any claim must be filed within one year after it accrues, or it is permanently barred.
18. Term and Termination
These Terms apply while you use the Services. You may stop using the Services and close your account at any time. We may suspend or terminate your access if you violate these Terms, if required by law, or to protect the Services or other users. Upon termination, your license to use the Services ends; Sections that by their nature should survive (including ownership, data-processing commitments, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.
19. Modifications to the Terms
We may update these Terms from time to time. For material changes, we will give at least 30 days advance notice by email or prominent in-product notice before the change takes effect, and changes apply prospectively only. If you do not agree to a change, you may close your account before the change takes effect; continuing to use the Services after the effective date means you accept the revised Terms. The version of these Terms in effect when a dispute arises governs that dispute.
20. Governing Law and Venue
These Terms are governed by the laws of the State of Alabama, without regard to its conflict-of-laws rules, except that the Federal Arbitration Act governs Section 17. This choice of law does not deprive you of protections of the law of your state of residence that cannot be waived by contract. For any dispute not subject to arbitration, the state and federal courts located in Jefferson County, Alabama will have exclusive jurisdiction, and you consent to personal jurisdiction in those courts.
21. General
•
Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Services.
•
No third-party beneficiaries. These Terms are for the benefit of you and KB Innovation only; they do not create rights in any other person, including your Organization's members or givers.
•
Severability. If any provision is unenforceable, the rest remain in effect.
•
No waiver. Our failure to enforce a provision is not a waiver.
•
Assignment. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or ministry restructuring.
•
Force majeure. We are not liable for delays or failures caused by events beyond our reasonable control.
•
Notices. We may provide notices to you by email or through the Services.
